Exalyn Studio Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (“Terms”) govern participation in the Exalyn Studio Affiliate Program (“Affiliate Program”). By registering for and participating in the Affiliate Program, you agree to these Terms.

1. Affiliate Program

The Exalyn Studio Affiliate Program allows approved affiliates to earn commissions by referring customers to Exalyn Studio through their unique affiliate referral link or other tracking methods provided through our affiliate platform.

Participation in the Affiliate Program is subject to approval by Exalyn Studio. We reserve the right to approve or reject any application at our discretion.

2. Affiliate Commission

The standard affiliate commission is between 6% and 10% of eligible referred sales, unless a different commission rate has been agreed with an affiliate in writing.

Commission is calculated on the eligible order value recorded by our affiliate tracking system.

Shipping charges, taxes, refunds, cancellations, chargebacks and other amounts that do not constitute an eligible completed sale may be excluded from commission calculations.

3. Referral Tracking

Affiliates receive a unique referral link that is used to attribute eligible purchases.

The standard referral tracking period is 30 days from the customer's referral visit.

Tracking depends on cookies and other technologies used by the affiliate platform. Exalyn Studio cannot guarantee attribution where cookies are deleted, blocked or otherwise unavailable, or where the tracking system cannot identify the referral.

4. Commission Validation Period

Affiliate commissions are subject to a 30-day validation period following the date of the relevant sale.

During this period, commissions may appear in the affiliate system but are not yet considered payable.

This period allows Exalyn Studio to verify that the order remains valid and has not been cancelled, refunded, returned, charged back or otherwise invalidated.

5. Returns, Refunds and Cancelled Orders

No commission is payable on orders that are cancelled, fully refunded, returned or determined to be fraudulent or otherwise ineligible.

Where an order is partially refunded, the corresponding commission may be adjusted to reflect the final eligible value of the sale.

If commission has already been recorded for an order that subsequently becomes ineligible, Exalyn Studio reserves the right to adjust or deduct that commission from unpaid or future commissions.

6. Commission Payments

Eligible commissions are paid only after the applicable validation period has passed and the corresponding sales have been verified.

Payments may be processed manually using a payment method agreed between Exalyn Studio and the affiliate.

Affiliates are responsible for providing accurate and valid payment information.

Any taxes, declarations or other obligations arising from affiliate income are the responsibility of the affiliate, subject to applicable law.

7. Self-Referrals

Affiliates may not use their own referral links, affiliate codes or other affiliate tracking methods to earn commission on their own purchases.

Orders identified as self-referrals may be excluded from commission calculations.

8. Acceptable Promotion

Affiliates may promote Exalyn Studio through websites, blogs, social media, video platforms, email content and other legitimate marketing channels.

Affiliates must not:

• make false, misleading or deceptive claims about Exalyn Studio or its products;
• impersonate Exalyn Studio or represent themselves as employees or official representatives of Exalyn Studio;
• use spam or unsolicited bulk messaging;
• use misleading advertising or fraudulent traffic-generation methods;
• purchase products through their own affiliate links for the purpose of earning commission;
• use Exalyn Studio trademarks, branding or identity in a manner that could mislead customers about the affiliate's relationship with Exalyn Studio;
• engage in unlawful, fraudulent, abusive or unethical promotional practices.

9. Brand and Content Use

Affiliates may use promotional materials specifically provided or approved by Exalyn Studio for the purpose of promoting the Affiliate Program.

Exalyn Studio retains all rights to its trademarks, logos, product images, artwork, website content and other intellectual property.

Participation in the Affiliate Program does not transfer any ownership rights to an affiliate.

10. Affiliate Disclosure

Affiliates are responsible for clearly disclosing their affiliate relationship whenever required by applicable advertising, consumer protection or platform rules.

For example, affiliates should make it clear when they may receive a commission from purchases made through their links.

11. Prohibited Activity

Affiliate commissions may be rejected or an affiliate account suspended or terminated in cases involving suspected fraud, manipulation of referral tracking, fake transactions, unauthorized use of promotional methods, violation of these Terms or other conduct that could harm Exalyn Studio, its customers or its reputation.

12. Termination

Either the affiliate or Exalyn Studio may end participation in the Affiliate Program.

Exalyn Studio reserves the right to suspend or terminate an affiliate account for violation of these Terms, suspected fraud, abuse of the program or other legitimate reasons.

Valid commissions earned before termination remain subject to the validation, eligibility and payment provisions of these Terms.

13. Changes to the Affiliate Program

Exalyn Studio may modify the Affiliate Program, including commission rates, tracking periods, payment procedures and these Terms.

Material changes will apply prospectively and will be communicated or published through appropriate channels where required.

14. No Employment Relationship

Participation in the Affiliate Program does not create an employment, partnership, agency, franchise or joint venture relationship between the affiliate and Exalyn Studio.

Affiliates participate as independent parties and are not authorized to enter into obligations on behalf of Exalyn Studio.

15. Limitation of Liability

To the extent permitted by applicable law, Exalyn Studio is not responsible for losses resulting from interruptions, technical failures, unavailable tracking, third-party affiliate platform failures or other circumstances outside its reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

16. Governing Law

These Terms are governed by the laws of Belgium, subject to any mandatory provisions of applicable law.
